The company Ciléa, a limited liability company with a capital of 10,000 euros, whose registered office is located at 4 rue Legraverend, 35000 Rennes - France, registered with the Rennes Trade and Companies Register under number 537 636 425 (hereinafter "Ciléa" or the "Supplier").

These General Terms and Conditions of Sale (hereinafter the "GTC") govern exclusively the sales of products made by Ciléa to professional clients acting within the framework of their commercial activity (hereinafter the "Client" or the "Distributor").

These Terms and Conditions apply to all product orders placed by a Customer
professional, unless otherwise agreed in writing by Ciléa.

All orders imply unreserved acceptance of these Terms and Conditions, which take precedence over
any other document from the Client, including its general terms and conditions of purchase.

The products offered for sale are those listed in the catalogues, lookbooks, price lists or
Ciléa's commercial materials in effect on the date of the order.

Photographs, visuals and product descriptions are provided for illustrative purposes only and
do not constitute a contractual commitment.

Ciléa products are handcrafted. As a result, variations may occur.
Minor differences in color, reflections, or shapes may exist between the visuals in the catalog and
the delivered product.

These variations, inherent to the artisanal manufacturing process, cannot be considered
such as non-conformities or justifying a refusal of goods.

All initial orders are subject to a minimum purchase of thirty (30) pieces. For subsequent orders (restocks), the minimum is set at ten (10) pieces per order.
Orders are placed in writing (email, purchase order or any other medium accepted by Ciléa).
All orders are only final after written acceptance by Ciléa. Ciléa reserves the right to refuse any order, particularly in the event of a prior dispute, non-payment, or non-compliant commercial conditions.

Any modification or cancellation of an order must be subject to prior written agreement from Ciléa.

Prices are expressed in euros, excluding taxes (HT), ex-works.

The applicable rates are those in effect on the date the order is accepted. Ciléa reserves the right to change its prices at any time.

Transport, insurance, customs and any applicable taxes are the sole responsibility of the Client, unless otherwise agreed in writing.

Unless otherwise agreed in writing, all orders require a deposit of 30% of the total amount including VAT on the day the order is validated by Ciléa.

The balance of the price is payable in full before the products are shipped. The goods will only be handed over to the carrier after final payment of all sums due.
No discount will be given for early payment.

Any delay in payment will automatically and without prior notice result in:
- the immediate payment of all sums due;
- the application of late payment penalties calculated at the legal rate plus three (3) points;
- the application of a fixed compensation of 40 euros for recovery costs,
in accordance with Article L.441-10 of the Commercial Code.

Delivery times are provided for informational purposes only.
A delay in delivery cannot justify refusal of the order nor give rise to compensation.
However, if delivery has not taken place within thirty (30) days after the initially scheduled date, each Party may request cancellation of the order, without compensation, except in cases of force majeure.

The products travel at the Customer's risk, from the moment they are handed over to the carrier.
It is the Client's responsibility to check the condition of the products upon delivery and to exercise any appropriate recourse with the carrier.

Ciléa retains ownership of the products sold until full payment of the price, in
main and accessories.
In the event of non-payment, Ciléa may reclaim the products, without prejudice to any other action.

The Customer has a period of seven (7) days from receipt of the products to
to make any written claim relating to an apparent defect or non-conformity.

No claims will be considered after this deadline.
Ciléa's guarantee is strictly limited to the replacement or repair of products recognized as defective.

All models, designs, logos, photographs and texts appearing on Ciléa's materials remain its exclusive property.

The purchase of the products does not entail any transfer of intellectual property rights to the Client.

The Client is prohibited from copying, reproducing or counterfeiting Ciléa's designs.

Unless otherwise agreed in writing, the resale of products on third-party marketplaces is strictly prohibited in order to preserve the Supplier's brand image.

Ciléa collects the Client's personal data (name, email, address) for order management, invoicing, and customer relationship management. This data is kept for the legally required period for the aforementioned purposes.

In accordance with the GDPR, the Client has the right to access, rectify and object to their data by contacting Ciléa at its registered office.

Any request for repair of one or more products will not be subject to invoicing when the product is returned complete and the repair is simple.

Ciléa reserves the right to charge for repairs when the product is not returned in its entirety, when parts are missing, when the product is old, or when the repair is complex.

Ciléa's liability is limited to the pre-tax amount of the order in question.

Ciléa cannot be held responsible for indirect damages, loss of business, loss of revenue or damage to image.

Neither Party shall be held liable for any failure resulting from a case of force majeure as defined in Article 1218 of the Civil Code.

The commercial, technical or financial information exchanged is strictly
confidential.

These Terms and Conditions are governed by French law.
Any dispute relating to their interpretation or execution shall fall under the exclusive jurisdiction of the Commercial Court of Rennes.
